Terms of Service

Effective date: June 5, 2026

These Terms of Service ("Terms") govern your access to and use of the Coritra platform and any related services (collectively, the "Service") provided by Coritra ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or the organisation you represent. By accepting these Terms you represent that you meet these requirements.

3. Billing and Financial Terms

3.1 Billing Cycle and Auto-Renewal

Subscriptions are billed monthly in advance, starting on the date you first subscribe. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorise us to charge your payment method on each renewal date without further action on your part.

3.2 Price Changes

We reserve the right to change our subscription fees at any time. We will give you at least 30 days' written notice before any price change takes effect, delivered by email to the address associated with your Account or via an in-app notification. Continued use of the Service after the price change takes effect constitutes your acceptance of the new fees. If you do not agree to the new fees, you may cancel your subscription before the change takes effect.

3.3 Taxes

All listed prices are exclusive of taxes, levies, or duties imposed by taxing authorities. Any applicable sales tax, VAT, GST, or similar charges will be added at checkout where required by law. You are responsible for any such taxes associated with your subscription, excluding taxes based solely on our net income.

3.4 Refund Policy

All fees paid are non-refundable.

We do not provide refunds or credits for partial months of service, for periods where the Service was unused, or upon cancellation. The sole exception is where a refund is required by applicable law, or where we have explicitly agreed to a refund in writing. If you believe you have been charged in error, please contact us at billing@coritra.com within 30 days of the charge.

3.5 Late Payments and Non-Payment

If a payment fails (e.g., due to an expired card or insufficient funds), we will notify you and retry the charge. You will have a 7-day grace period to update your payment method. If payment is not received within that period, we may suspend access to your Account until the outstanding balance is settled. Accounts suspended for non-payment for more than 30 days may be terminated and their data permanently deleted.

3.6 Plan Changes and Cancellation

You may upgrade or downgrade your plan at any time from your Account settings. Upgrades take effect immediately; downgrades take effect at the start of the next billing cycle. You may cancel your subscription at any time; access will continue until the end of the current billing period, after which your Account will be moved to a read-only state and may be deleted after 30 days.

4. Use of the Service

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business purposes, including managing partner programmes, recording Attributions, calculating Commissions, and generating Settlements.

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Notify us immediately at security@coritra.com if you suspect any unauthorised use of your Account.

5. Data and Privacy

5.1 Your Data

All data you submit to the Service ("Customer Data") remains your property. You grant us a limited licence to process Customer Data solely to provide and improve the Service. We will not sell or share your Customer Data with third parties except as required to operate the Service (e.g., payment processors) or as required by law.

5.2 Privacy Policy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

5.3 Data Retention

After Account deletion or cancellation we retain Customer Data for up to 30 days to allow for recovery, after which it is permanently deleted from our systems, except where we are required by law to retain it longer.

6. Intellectual Property

The Service, including all software, algorithms, user interfaces, documentation, and trademarks, is and remains the exclusive property of Coritra and its licensors. Nothing in these Terms transfers any ownership of intellectual property to you. Feedback or suggestions you provide regarding the Service may be used by us without restriction or compensation to you.

7. Confidentiality

Each party may have access to confidential information of the other party. Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information (but no less than reasonable care), and not to disclose it to third parties without prior written consent, except as required by law.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT COMMISSION CALCULATIONS WILL BE FREE OF INACCURACIES. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY OF ANY COMMISSION OR SETTLEMENT OUTPUT BEFORE MAKING PAYMENTS TO PARTNERS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CORITRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CORITRA'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO CORITRA IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Coritra and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your Customer Data; or (c) your violation of any applicable law or third-party right.

11. Termination

We may suspend or terminate your access to the Service immediately, with or without notice, if you breach these Terms, fail to pay fees when due, or if we are required to do so by law. Upon termination, all rights granted to you under these Terms will immediately cease. Sections 6, 7, 8, 9, 10, and 13 will survive termination.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email or via an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction where Coritra is incorporated, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, the dispute shall be submitted to binding arbitration under the rules of a mutually agreed arbitration body.
